REQUEST FOR PROPOSALS FOR LEGAL SERVICES
The City of Beachwood, Ohio is accepting proposals for a Law Director, effective, March 5, 2024.
The City will consider candidates who are interested in providing such services part-time as a Law Firm.
The Proposal shall include the following:
Routine Legal Services
The Proposal shall include a monthly retainer amount for Routine Legal Services and Special Legal Services to be provided by the Law Director. Routine Legal Services should include:
a. Attending all Regular and Special Council meetings, except as otherwise directed by the Council;
b. Attending City Board and Commission meetings to provide legal advice, upon the request of the Mayor or Chair of the Board or Commission;
c. Drafting Ordinances and Resolutions upon request of Councilmembers and/or the Mayor;
d. Researching and drafting legal memoranda as requested by the Council or the Mayor;
e. Providing legal advice to City officials on a daily basis, as necessary;
f. Responding to inquiries to and from the City;
g. Attending meetings and discussions with City, County, State and Federal officials and other governmental officials that are unrelated to "Litigation" and "Special Legal Services" as defined below;
h. Reviewing and approving Contracts, Ordinances, Resolutions, and any other written documents, as requested by the Council, the Mayor, Directors or Division heads. This shall not encompass significant revision or any required extensive drafting of such documents.
The following types of work shall not be "Routine Legal Services" but shall be treated as "Special Legal Services":
Special Legal Services
a. Personnel matters that involve Investigations and/or PreDisciplinary Conferences or Union employee matters;
b. Labor Union Negotiations;
c. Revisions to the City's Personnel Policy Manual or similar such documents;
d. Applications before the Planning and Zoning Commission that require extensive legal review, including review of or drafting of documents, such as, easements or deed restrictions, bonds or guarantees, or homeowners' association documents, and acting as an advocate for a position before the Commission;
e. Drafting of Contracts/Agreements and extensive drafting of new provisions or amendments to the Codified Ordinances; and
f. Real estate development project reviews and tax incentives/financing matters related thereto.
Time allocation for Routine Services
The proposal shall anticipate that the Law Director shall spend approximately fifty (50) hours per month on Routine Services. The Law Director shall anticipate spending approximately ten (10) to fifteen (15) hours per week working at the Law Department located at City Hall.
Billing
The firm shall bill Beachwood monthly for all Routine Services, Complex Litigation and Additional Projects. which billings shall set forth the date the services were rendered, the attorney performing such services, and a brief description of the services provided. All services shall be billed in tenths of an hour.
Term
The proposal shall be for a period of one (1) year.
Additional Projects
Subject to agreement of both Parties, the firm may be asked to undertake Additional Projects on a flat fee or hourly basis which are outside the scope of Routine Services ("Additional Projects"). Examples of such "Additional Projects" are: drafting or re-drafting of significant Code revisions/amendments, drafting and/or negotiation of substantial or specialized contracts. significant real estate transactions, large public records request reviews, etc.
Rates
The proposal shall specify the hourly rates proposed for Complex Litigation and Additional Projects.
Education and Experience
Graduation from an ABA accredited law school, duly admitted to the practice of law in the State of Ohio and shall have at least seven (7) years of experience in the active practice of law, including a minimum of five (5) years full-time and/or substantial part-time experience in the practice of municipal and/or governmental law.
Job Summary
a. The Law Director manages the Law Department office and staff in City Hall.
b. The Law Director manages, directs, and integrates a wide range of complex legal services,
often involving issues of significant visibility and substantial consequence for the City.
c. The Law Director is responsible for providing both legal advice and advocacy on highly
complex and sensitive issues in diverse areas of law to the Mayor, City Council, department
heads, and other City employees, boards, and commissions, and helps ensure City officials and employees comply with legal and ethical standards as set forth in statutes and codes.
d. The Law Director directs litigation in which the City is involved as plaintiff, defendant or
other interested party and prepares/approves legally binding documents related to City
interactions with private businesses, individuals, and other governmental entities.
Necessary skills include a comprehensive knowledge of municipal law, torts, contracts, civil rights, administrative process, real property, zoning, constitutional law and construction law; a comprehensive knowledge of local, State and Federal laws and court decisions affecting municipalities; a thorough knowledge of standard office procedures, practices and equipment; an ability to present complex ideas effectively orally and in writing; the ability to handle or supervise complex trial and appellate litigation; and the ability to establish and maintain effective working relationships with City officials, court officials, members of the bar, and the general public.
Responsibilities of the Law Director are broad in scope, require a high degree of seasoned legal and administrative experience and discretion, and are evaluated in terms of overall effectiveness.
